Our Services are intended for licensed orthodontic practices and authorized representatives. By using our Services, you represent and warrant that you are authorized to enter into agreements on behalf of your practice.

4. Account Registration

To access certain features, you may need to create an account. You agree to:

Maintain and promptly update your information

Keep your password secure and confidential

Accept responsibility for all activities under your account

5. Orders and Payment

5.1 Ordering

All orders are subject to acceptance by OrthoBox. We reserve the right to refuse any order for any reason.

5.2 Pricing

Prices are subject to change without notice. The price charged will be the price in effect at the time of order placement.

5.3 Payment Terms

Payment is due according to the terms specified in your order agreement. Late payments may incur fees as specified in your agreement.

5.4 Taxes

You are responsible for all applicable taxes unless you provide valid tax exemption documentation.

6. Intellectual Property Rights

6.1 OrthoBox Property

All OrthoBox materials, including designs, text, graphics, and software, remain the property of OrthoBox and are protected by intellectual property laws.

6.2 Practice Materials

You retain ownership of materials you provide (logos, photos, content). By providing materials, you grant OrthoBox a license to use them solely for fulfilling your orders.

6.3 Custom Designs

Custom designs created for your practice remain your property after full payment. OrthoBox retains the right to display samples in our portfolio unless otherwise agreed.

7. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary information shared during the course of service.

8. Acceptable Use

You agree not to:

Use our Services for any unlawful purpose

Violate any applicable laws or regulations

Infringe upon any third-party rights

Misrepresent your identity or affiliation

9. Warranties and Disclaimers

We warrant that our Services will be performed in a professional and workmanlike manner.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORTHOBOX'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM.

You agree to indemnify and hold OrthoBox harmless from any claims arising from:

12. Termination

Either party may terminate the service relationship with 30 days written notice. Termination does not relieve payment obligations for services already rendered.

13. Governing Law

These Terms shall be governed by the laws of Colorado, without regard to conflict of law principles.

14. Dispute Resolution

Any disputes shall first be addressed through good faith negotiation. If unresolved, disputes shall be settled through binding arbitration in Denver, Colorado.

15. Modifications

We reserve the right to modify these Terms at any time. Continued use of our Services after changes constitutes acceptance of modified Terms.

16. Privacy Policy

Your use of our Services is also governed by our Privacy Policy, which is incorporated by reference.

17. Entire Agreement

These Terms constitute the entire agreement between you and OrthoBox regarding our Services and supersede all prior agreements.
